Terms & Conditions

Welcome to Manis Marketplace (“Manis,” “we,” “us,” or “our”). By accessing or using our platform (the “Platform”), you (“User,” “Buyer,” or “Seller”) agree to be bound by these Terms of Service (the “Terms”). If you do not agree, please do not use the Platform.

1. Overview of Manis Marketplace

Manis Marketplace is an online platform that connects Buyers and Sellers to facilitate business transactions. Manis does not provide services or products itself but enables Buyers to post their offers for Sellers to browse. Sellers may place orders based on these offers, and Buyers can accept or decline Seller requests.

By using the Platform, Users acknowledge that Manis is not a party to any contract between Buyers and Sellers and does not assume responsibility for any transactions, communications, or agreements made between Users.

2. No Representation or Guarantee

Being listed on the Manis Marketplace or having a "Verified or "Verified Seller" badge does not constitute an endorsement by Manis. Manis makes no representations, warranties, or guarantees regarding the reliability, credibility, financial standing, legal compliance, or overall quality of any Buyer or Seller. Manis assumes no liability for any disputes or conflicts that arise between Buyers and Sellers.

3. User Roles and Responsibilities

3.1 Buyer Responsibilities

• - Buyers may create offers detailing the services or products they require.
• - Buyers are solely responsible for ensuring that their offers are accurate, complete, and legally compliant.
• - Buyers may accept or decline any Seller’s order request at their discretion.
• - Buyers agree to indemnify and hold Manis harmless from any claims, losses, or damages arising from inaccurate, misleading, or unlawful offers posted on the Platform.

3.2 Seller Responsibilities

• - Sellers may browse available Buyer offers and submit orders accordingly.
• - Sellers acknowledge that Buyers have the sole discretion to accept or decline their orders.
• - Sellers are responsible for fulfilling any accepted orders in a timely and professional manner.
• - Any disputes arising between Buyers and Sellers must be resolved directly between them.

4. Orders

4.1 Order Placement & Acceptance

• - When a Seller places an order based on a Buyer’s offer, the Buyer may accept or decline the order at their sole discretion.
• - Once a Buyer accepts an order, both parties are expected to fulfill their respective obligations as outlined in the order details.
• - Buyers and Sellers are encouraged to communicate clearly and promptly to ensure successful transactions.

4.2 Order Fulfillment & Completion

• - The Seller is responsible for delivering the product or service as per the agreed-upon terms.
• - Buyers must confirm the receipt of a completed order in a timely manner.
• - An order is considered complete when the Buyer confirms that the Seller has fulfilled all requirements, or if no disputes are raised within a reasonable timeframe.

4.3 Order Modifications & Cancellations

• - Before Acceptance: Buyers may modify or withdraw their offer before a Seller places an order.
• - After Acceptance: If an order has been accepted, modifications can only be made with mutual agreement between the Buyer and Seller.
• - Either party may request an order cancellation due to unforeseen circumstances, but Manis does not guarantee refunds or compensation.

4.4 Disputes & Chargebacks

• - Manis does not mediate disputes between Buyers and Sellers.
• - If a Buyer or Seller initiates a chargeback or disputes a payment, they are solely responsible for resolving the issue with their payment provider.
• - Users acknowledge that chargebacks or fraudulent activities may result in account suspension or termination.

5. Manis’ Role as a Neutral Platform

Manis acts solely as an intermediary to match Buyers with Sellers and does not guarantee the quality, legality, or fulfillment of any services or products exchanged between Users.

Buyers and Sellers have the option to use an API to integrate or be integrated with the Manis platform to send or fulfill orders automatically. While this functionality enhances automation, Users acknowledge that they are solely responsible for any technical configurations, data security, and compliance with applicable regulations when using the API.

Additionally, Manis conducts a due diligence process to verify the profiles of both Buyers and Sellers. However, verification does not constitute an endorsement or guarantee of a User's credibility, financial stability, or compliance with applicable laws and regulations.

6. No Harassment or Bullying Policy

Manis has a strict no-harassment, no-bullying policy. Any form of abusive, discriminatory, or harmful behaviour towards other users or Manis representatives will not be tolerated. Manis reserves the right to terminate its relationship with any Buyer, Seller, or user found in violation of this policy.

7. Indemnification

By using the Platform, you agree to indemnify, defend, and hold harmless Manis, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in connection with:

• - Your use of the Platform, including any posted offers or order transactions.
• - Any disputes, breaches, or misrepresentations between Buyers and Sellers.
• - Any violation of these Terms or applicable laws.

8. Payments and Fees

• - Manis may charge fees for facilitating transactions on the Platform. Fee structures will be disclosed separately.
• - Manis is not responsible for processing payments between Buyers and Sellers unless explicitly stated.

9. Dispute Resolution

Manis does not mediate disputes between Buyers and Sellers. Users are encouraged to negotiate and resolve disputes independently.

10. Limitation of Liability

To the maximum extent permitted by law, Manis is not liable for:

• - Any indirect, incidental, or consequential damages resulting from transactions between Users.
• - Any inaccuracies or misrepresentations in Buyer offers or Seller responses.

11. Account Termination

Manis reserves the right to suspend or terminate any User’s account if they violate these Terms, engage in fraudulent activity, or misuse the Platform.

12. Changes to Terms of Service

We may update these Terms periodically. Continued use of the Platform after updates constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of Ontario, Canada. Any legal disputes must be resolved in the courts of Ontario.
